Merchant cash advances: questions to ask before signing.

If you are reviewing a merchant cash advance offer, make sure you understand the provider, the contract and the proposed collections. Use these questions to prepare a discussion with the provider and your professional advisers.

Identify the provider and the agreement

Who is offering the advance? Who is named in the contract? Is anyone introducing the offer on another company’s behalf?

Ask for the full agreement and a clear explanation of each party’s role before sharing an application or making a commitment.

Understand the total obligation

What amount would you receive? What total amount does the agreement require you to deliver? Which fees or other charges are additional? Ask the provider to show the complete calculation in writing and explain the terminology used in the offer.

Review how collections work

How are payments or remittances collected, and how often? What happens if sales change or a scheduled collection cannot be made? Does the agreement provide a reconciliation or adjustment process? Have the provider explain the relevant contract terms and the steps required to use any adjustment mechanism.

Check restrictions and personal obligations

Does the agreement include security, guarantees, account-access requirements or restrictions on changing payment providers? What happens if the business is sold, closes or seeks another source of funding? Ask your adviser to review the terms that could affect the business or the people signing.

Compare the decision in context

Discuss the offer alongside the business’s cash-flow forecast and other available options. Ask how different assumptions would affect the ability to meet the proposed collections. A headline amount or approval message does not answer those questions.
